The Job at a Glance

In this role, you will be the second legal hire and a key member of our legal team. You will be supporting our enterprise-wide commercial and product initiatives in expanding the business and compliantly building healthcare/fintech products. An ideal candidate will have experience in commercial contracting, as well as the healthcare or fintech industries, but should be comfortable being a generalist and willing to roll up their sleeves and contribute to a wide range of in-house legal matters. Strong candidates will be solution-oriented, thrive on small teams, work efficiently, and be comfortable managing projects independently. This role reports to the Head of Legal and Compliance.

What You’ll Do

Working within an organization created at the intersection of health care, retail and financial technology, no two days will look the same. Typical responsibilities of the role include:

  • Collaborating with cross functional teams (spanning multiple time zones) to help negotiate and close deals.
  • Drafting, reviewing, and negotiating various documents, including MSAs, SOWs, business associate agreements (BAAs), vendor agreements, partnership agreements, NDAs, and employment-related agreements.
  • Providing product counseling and risk assessments developing new product/feature offerings, as well as consumer engagement initiatives. This includes supporting regulatory compliance by developing an understanding of applicable requirements and communicating those requirements and the related risks to business stakeholders in a practical, digestible way.
  • Working closely and collaboratively with other business functions, providing guidance and practical advice related on internal operations and policies, day-to-day issues, and challenges impacting the company.
  • Coordinating with external counsel, auditors, and service providers
  • Monitoring state laws and regulatory trends impacting our industry to strategically manage risk.
  • Supporting existing legal/compliance processes and operations, including contract management, and helping to develop new processes as the company continues to scale.

About You

While every candidate brings a unique resume and prospective, an ideal candidate will have:

  • A JD from an ABA accredited law school and admission to at least one state bar (in good standing)
  • 3+ years of relevant experience at a reputable law firm and/or in-house legal department in the U.S.
  • Experience providing legal support for a variety of commercial transactions through all stages of the transaction lifecycle, as well as experience advising clients on consumer-facing product development in a highly regulated industry
  • Experience building and improving legal processes such as contract management, including through the effective use of software platforms and technology
  • A level-headed demeanor, great judgment, and a problem-solving attitude
  • Agility and flexibility to take on new tasks and responsibilities when necessary to support the business and legal team's needs in a fast-moving, rapidly- scaling, and dynamic tech company
  • Regulatory/compliance experience is preferred but not required. Experience dealing with healthcare regulation or fintech regulation is strongly preferred

Other Requirements

  • Occasional travel may be required from time to time as part of the role, for company events and business needs.
  • Work Environment. Soda Health is a remote-first, distributed workforce. Candidates should be comfortable with, and equipped to work within, a distributed remote team, including having reliable internet access and basic home office equipment. Soda Health will provide a work laptop, and mouse/keyboard upon request.
